The 2024 EU/UK/AUS/NZ ONEUP CUSTOM BUILD SWEEPSTAKES (“Sweepstakes”) is sponsored and administered by D3 Innovation Inc. (referred to as “OneUp Components”), located at 39359 Queens Way, Unit 7, Squamish, British Columbia, V8B 0T5, Canada. By participating in this Sweepstakes, each entrant agrees to abide by the instructions of OneUp Components and these Official Rules, including all eligibility requirements, and understands and agrees that the results of the Sweepstakes, as determined by OneUp Components, are final and binding in all respects. This Sweepstakes is subject to the laws and regulations of the Netherlands, along with mandatory consumer protections of the entrants’ respective countries. The Sweepstakes is void where prohibited by law. Any questions, comments, or complaints regarding the Sweepstakes should be directed to OneUp Components at info@oneupcomponents.com. By entering, you consent to the use of your information as outlined in the OneUp Components Privacy Policy.

1) SWEEPSTAKES PERIOD

The Sweepstakes begins on October 15, 2024, at 9:00:00 AM PST (6:00:00 PM CET) and ends on October 29, 2024, at 11:59:59 PM PST (October 30, 2024, at 8:59:59 AM CET) (the “Sweepstakes Period”). All entries must be received during the Sweepstakes Period as further set forth in section 3 (How to Enter) of these Official Rules. Entrants are responsible for determining the corresponding time in their respective time zones.

2) ELIGIBILITY CRITERIA

The Sweepstakes is open only to legal residents of the European Union, the United Kingdom, Australia, and New Zealand who have reached the age of 18 or the age of majority in their jurisdiction of residence at the time of entry. The Sweepstakes Parties reserve the right to verify the eligibility of each entrant at any time.

The following individuals are not eligible to enter or win the Sweepstakes: employees, officers, directors, members, managers, agents, and representatives of the Sweepstakes Parties, as well as their immediate family members (spouse, parents, siblings, and children) or persons living in the same household.

Participants must have a valid email address and access to the internet. Entries are subject to all applicable local, national, and international laws and regulations. This Sweepstakes is void where prohibited by law.

Entrants under the age of 18 or the age of majority in their jurisdiction are not eligible to participate; thus, no parental consent mechanism is required.

3) HOW TO ENTER

To participate in the Sweepstakes, eligible individuals must visit oneupcomponents.com/pages/2024-win-a-full-oneup-build-kit during the Sweepstakes Period and complete the designated sign-up form. The entry process requires participants to provide their first name, last name, email address, and country of residence.

No purchase is necessary to enter or win, and making a purchase will not increase the chances of winning. Entry into the Sweepstakes is free, and no additional actions, such as making a purchase, are required. Access to the internet and a valid email address are the only requirements for entry. Standard internet usage costs associated with participation will be borne by the participant. There are no additional communication costs related to entering the Sweepstakes.

Marketing Consent: While completing the entry form, participants will have the option to subscribe to OneUp Components’ marketing communications. This is optional and will not increase the odds of winning. To subscribe, participants must check the “I would like to receive marketing communications from OneUp Components” box on the form. Consent for marketing can be withdrawn at any time without affecting the entrant’s participation in the Sweepstakes.

Limit: One entry per person for the entire Sweepstakes Period. Individuals who are already subscribed to OneUp Components’ marketing communications are not automatically entered into the Sweepstakes and must complete the entry form as described above to participate.

Upon successful submission, participants will receive a confirmation message via email and/or on the sign-up page.

4) PRIZE AWARD PROCESS

All entries that comply with these Official Rules and the instructions of OneUp Components, and that are received during the Sweepstakes Period (“Eligible Entries”), will be gathered into a database. On November 7, 2024, at the offices of OneUp Components, one (1) eligible entry will be randomly selected by a computer-generated draw from among all Eligible Entries. The odds of winning depend on the total number of Eligible Entries received during the Sweepstakes Period.

Skill-Testing Question: For residents of Australia and New Zealand, the selected entrant will be required to answer a simple skill-testing question, without assistance, to be eligible to receive the prize, as required by law. The skill-testing question will be communicated during the winner notification process.

If the selected entrant:

• Fails to meet the eligibility requirements,
• Does not correctly answer the skill-testing question (where applicable), or
• Is found to be in violation of these Official Rules,

they will forfeit the prize. In such an event, an alternate winner will be randomly selected from the remaining Eligible Entries. This process will continue until a winner who meets all the requirements has been successfully selected.

Data Protection and Privacy: The random selection process will be conducted fairly and transparently in accordance with the General Data Protection Regulation (GDPR). Personal data used for selecting the winner will be processed solely for the purposes of the Sweepstakes and handled in compliance with OneUp Components’ Privacy Policy. All participants have the right to request access to, correction of, or deletion of their personal data, as outlined in Section 8 (Personal Information).

5) PRIZE NOTIFICATION AND DELIVERY

The selected entrant will be notified via the email address provided at the time of entry within five (5) business days of the draw date (November 7, 2024). The entrant must respond within one (1) week to confirm their eligibility and accept the prize. For residents of Australia and New Zealand, this includes correctly answering a skill-testing question as required by law.

If the selected entrant does not respond within the specified timeframe or fails to meet eligibility requirements, the prize will be forfeited, and an alternate winner will be chosen through a random draw from the remaining eligible entries.

Once eligibility is confirmed, OneUp Components will coordinate the prize delivery with the winner. All costs associated with shipping, duties, and taxes will be covered by OneUp Components. The prize will be delivered within sixty (60) days of the winner’s confirmation.

Privacy, Data Use, and Retention: The winner’s personal information will be used solely for prize fulfillment in accordance with OneUp Components’ Privacy Policy. Personal data collected for this Sweepstakes will be retained for two (2) weeks after the conclusion of the Sweepstakes Period, after which it will be securely deleted, unless the entrant has opted-in for marketing communications. Entrants who have opted-in for marketing communications can withdraw their consent at any time.

In accordance with GDPR, entrants have the right to access, correct, or request the deletion of their personal data. Such requests can be directed to OneUp Components at info@oneupcomponents.com. The winner may provide consent for the use of their name and photographs for promotional purposes; if consent is given, OneUp Components may share the winner’s details on its website or social media channels.

6) PRIZES AND APPROXIMATE RETAIL VALUE

The prize offered in this Sweepstakes consists of a one-time $1,500 USD shopping spree at oneupcomponents.com, calculated based on the Manufacturer’s Suggested Retail Price (MSRP) of the selected products (the “Prize”). The Approximate Retail Value (“ARV”) of the Prize is $1,500 USD. The shopping spree shall be coordinated directly with an authorized representative of OneUp Components. All product selections are subject to availability at the time of coordination.

Prize Conditions:

The Prize is non-transferable, non-exchangeable, and is not redeemable for cash or other substitutes. No substitutions will be permitted, except at the sole discretion of OneUp Components, which reserves the right to substitute the Prize or any portion thereof with an item of equal or greater value in the event that the advertised Prize becomes unavailable for any reason. The winner shall comply with all instructions provided by OneUp Components regarding the selection and delivery of products as part of the Prize.

Prize Delivery:

Upon confirmation of the winner’s eligibility and compliance with these Official Rules, OneUp Components will coordinate the selection of products for the shopping spree directly with the winner. OneUp Components shall arrange and cover all standard shipping costs, as well as any associated taxes, customs duties, and fees incurred as a direct result of claiming or utilizing the Prize. Delivery of the selected products shall be made within sixty (60) days following the winner’s confirmation and completion of all necessary requirements.

Additional Costs:

OneUp Components shall only be responsible for the standard shipping fees, customs duties, and applicable taxes related to the delivery of the selected products. The winner shall bear any additional expenses not expressly covered by OneUp Components, including, but not limited to, optional product upgrades, personal expenses, or any incidental costs arising from the use of the Prize.

Risk of Loss:

The risk of loss or damage to the products shall transfer to the winner upon shipment. OneUp Components shall not be held liable for any delay, damage, or loss of products occurring during the shipping process. Any disputes or claims relating to shipping or product defects must be directed to the shipping provider or manufacturer, as applicable.

Acceptance of Prize:

By accepting the Prize, the winner agrees to release, discharge, and hold harmless OneUp Components, its affiliates, subsidiaries, employees, officers, directors, agents, and representatives from any and all liability, claims, or actions of any kind arising from or in connection with the Prize, including, but not limited to, any claims for property damage, personal injury, or death resulting from the use or misuse of the Prize. OneUp Components makes no warranties, either express or implied, regarding the quality, merchantability, fitness for a particular purpose, or suitability of the Prize.

Prize Forfeiture:

If the selected entrant fails to respond within the specified timeframe, fails to meet the eligibility requirements, or is otherwise disqualified in accordance with these Official Rules, the Prize shall be forfeited. In such an event, an alternate winner shall be selected by random draw from the remaining Eligible Entries, as described in Section 4 (Prize Award Process). This process shall continue until a winner is successfully confirmed.

7) ADDITIONAL LIMITATIONS AND RULES

The prize must be accepted as awarded and is non-transferable, non-exchangeable, and not redeemable for cash or any other items. No substitutions will be made, except at the sole discretion of OneUp Components in the event of prize unavailability. In such cases, a prize of equal or greater value will be awarded.

Liability: OneUp Components, its affiliates, and each of their respective officers, directors, employees, agents, and representatives (collectively, the “Released Parties”) are not responsible for:

• Any incorrect or inaccurate information, whether caused by entrants, printing errors, or by any of the equipment or programming associated with or utilized in the Sweepstakes.
• Technical failures of any kind, including, but not limited to, malfunctions, interruptions, or disconnections in phone lines, internet service, or network hardware or software.
• Unauthorized human intervention in any part of the entry process or the Sweepstakes.
• Technical or human error that may occur in the administration of the Sweepstakes or the processing of entries.
• Any injury or damage to persons or property that may be caused, directly or indirectly, in whole or in part, from an entrant’s participation in the Sweepstakes or receipt or use of the prize.

The prize is awarded “as-is” without any representations or warranties of any kind, either express or implied, by OneUp Components. OneUp Components makes no warranties regarding the quality, fitness for a particular purpose, or merchantability of the prize.

By entering, each participant agrees to release, indemnify, and hold harmless the Released Parties from any claims, damages, losses, or expenses arising out of participation in these Sweepstakes or the acceptance, possession, use, or misuse of the prize. The winner assumes all risk of injury or loss upon receipt and use of the prize.

Force Majeure: OneUp Components shall not be held liable for any delay or failure in performance of the Sweepstakes or prize delivery due to circumstances beyond its reasonable control, including but not limited to natural disasters, war, acts of terrorism, pandemic, government action, or power failures.

Disqualification: OneUp Components reserves the right, in its sole discretion, to disqualify any entrant who it finds:

• To have tampered with the entry process or the operation of the Sweepstakes.
• To have acted in violation of these Official Rules.
• To have provided false or misleading information within the context of the Sweepstakes or prize claim process.

Any attempt to deliberately damage any website or undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil laws. Should such an attempt be made, OneUp Components reserves the right to seek damages to the fullest extent permitted by law.

Technical Failures: In the event that the administration, security, fairness, integrity, or proper conduct of the Sweepstakes is compromised for any reason, including, but not limited to, unauthorized human intervention, fraud, technical failures, or any other causes beyond the control of OneUp Components, OneUp Components reserves the right to suspend, modify, or terminate the Sweepstakes at its sole discretion. If terminated, OneUp Components may, at its discretion, randomly select a winner from all eligible entries received up to the point of termination.

Compliance: Participation in this Sweepstakes constitutes full and unconditional agreement to these Official Rules and all decisions made by OneUp Components, which are final and legally binding in all matters related to the Sweepstakes. Entrants must comply with all applicable laws and regulations of their jurisdiction. This Sweepstakes is void where prohibited by law.

Complaints and Handling: Complaints regarding the Sweepstakes can be directed to info@oneupcomponents.com. OneUp Components will review and respond to complaints in accordance with its internal complaint handling procedures.

8) INDEMNIFICATION AND LIMITATION OF LIABILITY

By participating in the Sweepstakes, entrants agree to release, indemnify, defend, and hold harmless OneUp Components, its parent company, subsidiaries, affiliates, partners, representatives, agents, successors, assigns, employees, officers, and directors (collectively, the “Released Parties”) from any and all liability, claims, demands, losses, damages, costs, or expenses, including without limitation, property damage, personal injury, and/or death arising out of participation in the Sweepstakes, use or misuse of any prize, or participation in any Sweepstakes-related activities.

Data Privacy Compliance: OneUp Components is committed to complying with the General Data Protection Regulation (GDPR) in its collection, processing, and storage of entrants’ personal data. OneUp Components has implemented appropriate technical and organizational measures to protect personal data against unauthorized access, alteration, disclosure, or destruction. Personal data will only be processed for the purposes outlined in these Official Rules and in accordance with OneUp Components’ Privacy Policy. Entrants have the right to access, correct, delete, or restrict processing of their personal data and can contact OneUp Components at privacy@oneupcomponents.com to exercise these rights.

Data Breach Limitation: While OneUp Components strives to protect the privacy and security of participants’ data, it cannot guarantee complete security. By entering the Sweepstakes, entrants acknowledge and agree that OneUp Components is not liable for any unauthorized access to, or alteration, theft, or destruction of entrant data except to the extent caused by OneUp Components’ negligence or breach of GDPR. In the event of a data breach, OneUp Components will promptly notify affected participants as required by GDPR.

The Released Parties shall not be liable for:

• Any incorrect or inaccurate information, technical failures, or unauthorized human intervention in any part of the Sweepstakes.
• Any technical errors, including but not limited to malfunctions, interruptions, or disconnections in phone lines, internet service, or network hardware or software.
• Any claims, damages, or losses resulting directly or indirectly from participation in the Sweepstakes or receipt or use of any prize.

No Warranties: The prize is awarded “as-is” without any warranty or guarantee, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability: The Released Parties are not responsible for any incidental, consequential, or indirect damages arising out of or related to the Sweepstakes. Any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Sweepstakes, but in no event shall include attorneys’ fees.

Exclusions and Limitations: Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations or exclusions may not apply to you. This Sweepstakes is subject to all applicable laws and regulations.

Compliance: These indemnifications and limitations of liability are in accordance with Dutch law and comply with the mandatory consumer protections and data privacy rights under GDPR and the entrants’ respective countries.

9) PERSONAL INFORMATION

Collection and Use: By entering this Sweepstakes, participants consent to the collection, use, and processing of their personal information (name, email address, and country of residence) by OneUp Components for the purpose of administering the Sweepstakes, verifying eligibility, contacting the winner, and awarding the prize. Personal data will not be used for any other purpose unless participants have explicitly opted in for marketing communications.

Data Retention: Personal information collected for the Sweepstakes will be retained for two (2) weeks following the conclusion of the Sweepstakes Period, after which it will be securely deleted. If a participant opts in to receive marketing communications, their personal information will be retained in accordance with OneUp Components’ Privacy Policy until they choose to withdraw their consent.

Rights under GDPR: Participants from the EU and the UK have specific rights under the General Data Protection Regulation (GDPR), including the right to:

• Access their personal data.
• Correct or update any inaccuracies in their data.
• Request deletion of their data (“right to be forgotten”).
• Restrict or object to processing of their data.
• Data portability, allowing them to receive their data in a structured, commonly used format.

To exercise these rights, participants can contact OneUp Components at info@oneupcomponents.com. OneUp Components will respond to such requests in accordance with applicable data protection laws.

Data Security: OneUp Components has implemented appropriate technical and organizational measures to safeguard participants’ personal information against unauthorized access, alteration, disclosure, or destruction. While OneUp Components strives to protect the data provided by participants, it cannot guarantee complete security of any information transmitted over the internet.

Third-Party Sharing: Personal information collected will be used solely by OneUp Components for the purposes outlined in these Official Rules and will not be sold, shared, or disclosed to third parties, except as necessary for the administration of the Sweepstakes (e.g., communicating with the winner) or as required by law.

Withdrawal of Consent: Participants may withdraw their consent to the use of their personal information at any time by contacting OneUp Components at info@oneupcomponents.com. Withdrawal of consent may result in disqualification from the Sweepstakes if it affects the administration of the prize.

Compliance: OneUp Components processes personal data in accordance with the General Data Protection Regulation (GDPR), the Dutch law on data protection, and applicable data privacy regulations in Australia and New Zealand. 10) DISPUTE RESOLUTION AND GOVERNING LAW

Any disputes arising out of or in connection with these Sweepstakes shall be resolved individually, without resort to any form of class action, and exclusively by binding arbitration in the Netherlands. The arbitration shall be conducted in accordance with the rules of the Netherlands Arbitration Institute (NAI). The decision of the arbitrator shall be final and binding on all parties, and judgment on the arbitration award may be entered in any court having jurisdiction thereof.

Entrants agree that:

• Any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes, but in no event attorneys’ fees.
• Under no circumstances will entrants be permitted to obtain awards for, and hereby waive all rights to claim, punitive, incidental, or consequential damages, and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.

Governing Law: These Sweepstakes and its Official Rules are governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law principles. However, nothing in these Official Rules will be deemed to restrict or exclude any mandatory rights of the entrant under the local consumer protection laws in their jurisdiction of residence, including the General Data Protection Regulation (GDPR) for EU and UK residents, the Privacy Act 1988 (Australia), and the Privacy Act 2020 (New Zealand).

Exceptions to Arbitration: Entrants residing in countries where arbitration clauses are not enforceable may pursue their claims in their local courts, in accordance with the mandatory laws of their jurisdiction.

11) OFFICIAL RULES / WINNER LIST

To obtain a copy of these Official Rules, send an email request to info@oneupcomponents.com with the subject line “2024 EU/UK/AUS/NZ ONEUP CUSTOM BUILD SWEEPSTAKES - Official Rules.” Requests for the Official Rules must be received no later than the end of the Sweepstakes Period.

The name of the Sweepstakes winner will only be announced publicly if the winner provides explicit consent. If the winner agrees to share their name, a winner list will be available upon request. To request the winner list, send an email to info@oneupcomponents.com with the subject line “2024 EU/UK/AUS/NZ ONEUP CUSTOM BUILD SWEEPSTAKES - Winner List.” Requests must be received no later than three (3) months following the end of the Sweepstakes Period. If the winner chooses not to have their name publicly disclosed, OneUp Components reserves the right to decline to provide a winner list in order to respect the winner’s privacy rights.

All requests for the winner list and Official Rules will be processed in accordance with OneUp Components’ Privacy Policy and the General Data Protection Regulation (GDPR).

These Official Rules are binding and governed by the laws of the Netherlands, in accordance with Section 9 (Dispute Resolution and Governing Law) of these rules, and are subject to the mandatory consumer protections of the entrant’s jurisdiction of residence.
